ACCEPTANCE OF TERMS AND CONDITIONS

1. This website and the services offered on it (the "Service") are owned and operated by Invitation Platinum, ("Invitation Platinum"). The Service is provided to you pursuant to these Terms and Conditions and any operating rules or policies that may be published by Invitation Platinum (including the Privacy Policy, the Disclaimer, the Community Terms and Conditions and the questions and answers in the Frequently Asked Questions section), as may be amended from time to time (the "Agreements").
2. BY USING THE SERVICE, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS CONTAINED IN THE AGREEMENTS.

By using the Service, you agree to and accept all of the following terms, conditions, and notices (we reserve the right to change, update, and revise these terms and conditions at our sole discretion. CONTENT AND USER SUBMISSIONS

4. All contents of the Service – including but not limited to all trademarks, designs, logos, texts, images, photos, audio and video material – are the exclusive property of Invitation Platinum, participating vendors, or advertisers. The exclusive property of Invitation Platinum is protected under the law of England and Wales and of other countries worldwide and under the terms of international agreements. You may not copy, publish, download, display, reproduce, adapt, translate, distribute, modify, transmit, create a derivative work from or otherwise use the exclusive property and/or Service content of Invitation Platinum in any manner whatsoever without prior authorisation in writing from Invitation Platinum; provided that you may download, print, and store a single copy of the Service for personal, non-commercial use. You may not modify the content in any way, nor delete any copyright or trademark notice or other reference to property rights.
5. Any information, ideas, suggestions, or communications sent by you to Invitation Platinum through the Service becomes the exclusive property of Invitation Platinum. Subject to the terms of the Privacy Policy, Invitation Platinum is entitled to use, reproduce, disclose, and distribute any information submitted for any purpose without restriction or compensation to you.
6. By transmitting any messages or content to public or semipublic areas of the Service, you grant to Invitation Platinum a nonexclusive, worldwide, royalty-free, perpetual, irrevocable license to use, distribute, display, and reproduce the messages and content, and to authorize use and reproduction of the messages and content by other Service users in accordance with the terms of this Agreement.
7. The contents of the Service are intended for the personal, non-commercial use of its users. All materials published on this website (the "Website") including, but not limited to news articles, photographs, images, illustrations, audio clips and video clips (collectively, the "Content") are protected by copyright, trademark and all other applicable intellectual property laws, and are owned or controlled by Invitation Platinum or the party credited as the provider of such Content, software or other materials. You shall abide by copyright or other notices, information and restrictions appearing in conjunction with any Content accessed through the Service.
8. The trademarks, logos, and service marks (collectively the "Trademarks") displayed on the Website are registered and unregistered Trademarks of Invitation Platinum and others. Nothing contained on the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Website without the written permission of Invitation Platinum or such third party that may own the Trademark(s) displayed on the Website. Your misuse of the Trademarks displayed on the Website, or any other content on the Website, except as provided in these Terms and Conditions, is strictly prohibited. You are also advised that Invitation Platinum will aggressively enforce its intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution.
9. Any communication or material you transmit to the Website by electronic mail or otherwise, will be treated in accordance with our privacy policy. By transmitting or posting any communications or materials to this Website, you agree that Invitation Platinum may use your communications or materials for any purpose, including reproduction, transmission, publication, broadcast and posting. Invitation Platinum is free to use any ideas, concepts or know-how contained in such communications or materials for any purpose whatsoever including, but not limited to developing, manufacturing, distributing and marketing products using such information.
10. Invitation Platinum does not endorse the content on any third-party Websites. Invitation Platinum is not responsible for the content of linked third-party Websites, or third-party advertisements, and does not make any representations regarding their content or accuracy. Your use of third-party Websites is at your own risk and subject to the terms and conditions of use for such Websites
11. Invitation Platinum is not liable for any direct, incidental, consequential, indirect, or punitive damages arising out of your access to, or use of, the Website. Without limiting the foregoing, everything on the Website is provided to you "As is" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding the exclusion of implied warranties. Invitation Platinum also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the Website or your downloading of any materials, data, text, images, video, or audio from the Website.
12. Invitation Platinum has not reviewed all of the websites linked to the Website and is not responsible for the content of any non Invitation Platinum off-Website pages or websites linked to the Website. Your linking to any other off-website pages or other websites is at your own risk.
13. You should assume that everything you see or read on the Website is copyrighted unless otherwise noted and may not be used except as provided in these Terms and Conditions or in the text on the Website without the written permission of Invitation Platinum. Invitation Platinum neither warrants nor represents that your use of materials displayed on the Website will not infringe rights of third parties not owned by or affiliated with Invitation Platinum. The Service is protected by copyright as a database and/or compilation, pursuant to copyright laws of England & Wales, international conventions and other copyright laws. You may not, except in accordance with these terms and conditions, modify, adapt, translate, exhibit, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, perform, display, reverse engineer, decompile or dissemble, or in any way exploit, any of the Content, software, materials or Service in whole or in part.

Any unauthorized use of the images may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
17. Invitation Platinum maintains this product Website for your personal entertainment, information, education, and communication. You may download material displayed on the Website for non-commercial, personal use only provided you also retain all copyright and other proprietary notices contained on the materials. You may not, however, distribute, modify, transmit, reuse, re post, or use the content of the Website for public or commercial purposes, including the text, images, audio, and video (if applicable) without Invitation Platinum's prior written permission. Your access to and use of the Website is also subject to these Terms and Conditions and all applicable laws. By accessing and browsing the Website, you accept, without limitation or qualification, the Terms and Conditions and acknowledge that any other agreements between you and Invitation Platinum, if any, are superseded and of no force or effect.
18. Invitation Platinum offers an Internet platform for an exclusive members club, showcasing the best of the best in selected cities within the United Kingdom and Europe. All content, products and services are not to be considered as legal or professional advice, and are to be used for personal entertainment purposes only. Furthermore, Invitation Platinum’s selection of the establishments which feature on the Website is entirely at Invitation Platinum’s discretion and Invitation Platinum reserves the right to terminate any contract with any establishment (in accordance with the terms of the contract negotiated with each establishment) without the obligation to provide a reason for such decision to terminate.
19. You agree to not use this site for any unlawful purpose.

CONFIDENTIALITY AND TRADE SECRETS

20. You acknowledge and agree that all content and materials available on this site, including but not limited to systems, designs, coding, wording, colours and graphics are proprietary trade secrets protected by copyrights, trademarks, service marks, patents, or other proprietary rights and by other laws and that their use is restricted by the terms of this agreement. Use of the content or materials on this site for any purpose without written permission from Invitation Platinum is strictly prohibited. You further agree that you will create no derivative works of this site or the products offered within.
21. If you believe that the content of any Submission provided by you has been used on the Website in a manner that constitutes copyright infringement, please provide our corporate department with a written notice (email is sufficient: info@invitationplatinum.co.uk) that includes the following information: An electronic or physical signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; identification of the copyrighted work claimed to have been infringed; a description of where the material that you claim is infringing is located on the Website; your address, telephone number, and e-mail address; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and a statement by you, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

ACCESS AND AVAILABILITY OF SERVICES AND LINKS

Interactions that occur between you and the third party are strictly between you and such third party and such interactions are not the responsibility of Invitation Platinum and (in the circumstances where the services provided by Invitation Platinum are negotiated for you as part of a corporate package or otherwise) your employer. We are not responsible for examining or evaluating, and do not warrant the offerings of, any of these businesses or individuals or the content of their websites. Invitation Platinum does not assume any liability or responsibility for the actions, product, availability or content of these outside resources. You should direct any concerns regarding any external link to the website administrator or webmaster of the third party website.
23. This Website is not intended to be viewed by minors or anyone under the age of 18. By entering this site, you are agreeing that you are over the age of 18.
24. Invitation Platinum maintains this site (in part) for the personal use of those legally authorised to purchase alcoholic beverages and in countries where the purchase of alcoholic beverages is permitted. Please leave this site immediately if you do not accept these terms, if you are under the legal age for the purchase of alcoholic beverages in the country in which you are currently located or if you are in a country where the use of this site or the purchase of alcoholic beverages is not permitted.
25. Third-party content and links are included solely for the convenience of users, and do not constitute any endorsement by Invitation Platinum or your employer (if applicable to you). Invitation Platinum and your employer (if applicable to you) are not responsible for the accuracy or reliability of third-party information and you assume sole responsibility for the use of third-party information.
26. You acknowledge that Invitation Platinum and your employer (if applicable to you) neither endorses the contents of your communications nor assumes the responsibility for any threatening, libellous, obscene, harassing or offensive material contained therein, any infringement of third-party intellectual property rights arising therefrom or any crime facilitated thereby.
27. You acknowledge that Invitation Platinum does not pre-screen any content you post on the Service, but that Invitation Platinum and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any content that violates the Agreements or is otherwise objectionable on a purely subjective basis.

USER RESPONSIBILITIES

28. By consenting to the Agreements and becoming a member of Invitation Platinum, you agree:
- 28.1 To represent only yourself on the Service, and no other persons, living, dead, or imagined;
- 28.2 The Service may only be used by natural persons (i.e., individuals) on their own behalf and not by or on behalf of any commercial entity unless explicitly permitted by Invitation Platinum;
- 28.3 To provide accurate information to Invitation Platinum, including, but not limited to information required to register with the Service;
- 28.4 To provide for your own access to the Service, including but not limited to obtaining and maintaining all telephone, computer hardware and software, and other equipment and paying all related charges; and
- 28.5 Not to use the Service to:
  1. Publish or distribute any defamatory, infringing, obscene, indecent or unlawful material or information;
  2. Defame, abuse, harass, threaten, stalk or otherwise violate the legal rights of others;
  3. Send unsolicited email;
  4. Collect or store personal data about other users;
  5. Promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals;
  6. Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer;
  7. Upload files (including audio and video files such as MP3) that contain software or other material protected by intellectual property laws (or by rights of privacy) unless you own or control the rights thereto or have received all necessary consents;
  8. Delete or modify any author attributions, legal notices or other proprietary designations or labels in any file that is uploaded;
  9. Falsify the origin or source of software or other material contained in a file (including audio and video files) that is uploaded;
  10. Download any file (including audio and video files) that you know, or reasonably should know, cannot be legally distributed via the Service; and
  11. Reproduce, duplicate, copy, sell, resell, distribute, publish or exploit for any commercial purpose the software, products, or services provided by Invitation Platinum or obtained through the Service without obtaining the express, prior written consent of Invitation Platinum. This restriction includes any attempt to incorporate any information from the Service into any other directory, product or service.

VENDORS AND GOODS AND SERVICES

29. Invitation Platinum and your employer (if applicable to you) will not be liable for any loss or damage incurred as a result of any interaction between you and a vendor accessible through the Service. All matters, including but not limited to delivery of goods and services, returns, and warranties are solely and strictly between you and the vendor.
30. You acknowledge that Invitation Platinum and your employer (if applicable to you) do not endorse or warrant the vendors that are accessible through the Service nor the goods and services that they provide.
31. All payments to be made under your agreement with Invitation Platinum shall be made in full without any set-off or counterclaim and free from any deduction except as may be required by law.
32. You acknowledge that the offers showcased on the Website are solely for the benefit of you as a cardholder (plus the stipulated number of guests to which the individual offer relates) and the offers are available to no other person or people. Abuse of your card by card-sharing is strictly forbidden and Invitation Platinum expressly permit the Management of each venue to confiscate your membership card should they suspect misuse of the Invitation Platinum card. You will be charged £25 to replace a lost, mislaid or confiscated membership card and for repeated requests for replacements for lost, misplaced or confiscated cards Invitation Platinum reserve the right to move you on to the yearly pricing plan for your membership.
33. The Invitation Platinum offers are only valid upon the presentation of a valid Invitation Platinum membership card. The Management of each venue reserves the right to refuse members the featured offers if they do not present a valid Invitation Platinum membership card on request.
34. In order to confirm your identity so that you can take advantage of the featured offer(s), please be aware that venues may further request that you display a separate form of identity in order to complete your transaction (in person, online or otherwise). This identity can take the form of a valid identity card, drivers' licence and/or credit or debit card.
35. You acknowledge that the services provided by the venues are at the sole discretion of each individual venue and that Invitation Platinum do not warrant endorse or guarantee that a particular service will be on offer on every day or night. Whilst every effort is taken to ensure that the Service is constantly updated, Invitation Platinum cannot be held responsible should the individual venues decide not to offer the stated promotion or change the featured promotion without informing Invitation Platinum of this change.
36. Invitation Platinum does not in any way warrant endorse or guarantee that the individual venue will offer the service that is featured on the Service and it is at the sole discretion of each venue whether the service featured on the Service is in fact offered to each Invitation Platinum member and/or Invitation Platinum member's guest (where relevant).
37. You acknowledge that being a member of Invitation Platinum involves responsibility on your part. Being a member of Invitation Platinum does not guarantee that you are entitled to benefit from Invitation Platinum's featured services at all times. Invitation Platinum and each individual venue featured on the Invitation Platinum website reserve the right to refuse entry to any featured venue and or terminate or suspend entitlement to the benefits offered by Invitation Platinum for any reason whatsoever. The policies of each individual venue are incorporated by reference to these terms and conditions in relation to dealing with unruly behaviour and it is at the discretion of the individual venues as to how unruly behaviour is dealt with.
38. All payments due under specialist contracts with Invitation Platinum shall be paid within 14 days of the invoice date, after which date interest shall accrue at the rate of 10%.
39. Invitation Platinum reserves the right to modify its pricing and promotional offers at all times. The pricing applicable to your contract with Invitation Platinum is individual to you.

PAYMENT & CANCELLATIONS

** THESE CLAUSES ARE VERY IMPORTANT AND REQUIRE YOUR FULL ATTENTION AND UNDERSTANDING:
**40. YOU ACKNOWLEDGE THAT PAYMENT FOR THE MONTHLY SUBSCRIPTION TO INVITATION PLATINUM IS FACILITATED BY WAY OF A PAYMENT SYSTEM CALLED "RECURRING TRANSACTIONS". RECURRING TRANSACTIONS PERMITS US TO DEBIT YOUR ACCOUNT UNTIL YOU RETURN YOUR MEMBERSHIP CARD TO US AND CANCEL YOUR MEMBERSHIP.
**41. BY ACCEPTING THESE TERMS AND CONDITIONS YOU ARE PROVIDING YOUR AGREEMENT TO AUTHORISE INVITATION PLATINUM TO DEBIT YOUR ACCOUNT AT MONTHLY INTERVALS AT THE MONTHLY RATE AT WHICH YOU HAVE JOINED.
**42. IN ORDER TO CANCEL YOUR SUBSCRIPTION TO INVITATION PLATINUM YOU WILL THEREFORE NEED TO RETURN YOUR MEMBERSHIP CARD TO US AND WE WILL CANCEL THE RECURRING MONTHLY TRANSACTIONS. ONLY ONCE WE HAVE RECEIVED YOUR MEMBERSHIP CARD WILL WE BE ABLE TO CANCEL YOUR PAYMENTS.
43. If you sign up to Invitation Platinum on the full yearly one-off payment then you do not pay by way of Recurring Transactions and you will therefore have to contact us in your second etc year and re-subscribe to continue to benefit from our services. Alternatively you can opt to pay by Recurring Transactions and continue to use your card until you request us to cancel by returning the card to us. If you do not decide to continue with Invitation Platinum in your second year you are required by these Terms & Conditions to return your membership card to Invitation Platinum
**44. IN THE EVENT THAT YOU LOSE YOUR INVITATION PLATINUM MEMBERSHIP CARD, YOU WILL BE CHARGED A ONE-OFF REPLACEMENT FEE OF £25 AND THE SUBSCRIPTION FEE WILL THEREAFTER CONTINUE AS NORMAL.
45. Refunds When a member requests a termination, subscription fees are NOT refundable or refunded. Subscribers are liable for charges incurred by them until termination of service. Should a refund be issued by Invitation Platinum, all refunds will be credited solely to the payment method used in the original transaction. Invitation Platinum will not issue refunds by cash, cheque, or to another credit card or payment mechanism.
46. Bookmarking The subscriber agrees that at any time they will not bookmark any page to the site that will allow the subscriber to bypass the terms and conditions of the site upon entering. If such a bookmark exists, the said bookmark will constitute full agreement to said terms and conditions as well as to admission that the subscriber is of legal age of majority in their state, country or region.

SPECIAL OFFERS

47. If you sign up to Invitation Platinum on a "special offer", a £1 debit will be immediately drawn on your card/account. Your agreement with the Terms & Conditions of the Invitation Platinum website when you sign up is your approval for Invitation Platinum/Protx to debit £1 from the card that you use to complete the payment.
48. As further detailed in clauses 40-44 above, the monthly subscription fees to Invitation Platinum are automatically renewed at the end of the original term selected, for the same period of time, unless notice is received from the subscriber seven (7) days before renewal AND the subscriber returns its Invitation Platinum membership card (to 5 Merchant's Row, Caledonian Road, Bristol, BS1 6JN) a minimum of three (3) days before renewal. All offer memberships shall renew at the stated membership rate(s) notified in the promotion unless a cancellation notice is received from the subscriber. A cancellation notice via email is sufficient for this purpose: info@invitationplatinum.co.uk.
49. IN THE EVENT THAT A 'SPECIAL OFFER MONTHLY SUBSCRIBER' DOES NOT RETURN THEIR Invitation Platinum MEMBERSHIP CARD FOLLOWING A CANCELLATION REQUEST THE SUBSCRIBER WILL BE CHARGED THE REMAINING BALANCING PAYMENT FOR A YEAR'S SUBSCRIPTION TO Invitation Platinum.
50. The maximum term of any special offer agreement is 100 months.
51. Unless and until the agreement with Invitation Platinum is cancelled in accordance with the terms hereof, the subscriber hereby authorizes Invitation Platinum to charge the subscriber's chosen payment method to pay for the ongoing cost of membership.

REPRESENTATIONS AND WARRANTIES

52. You represent, warrant and covenant (a) that no materials of any kind submitted by you or Invitation Platinum's use thereof in accordance with these Terms and Conditions, will (i) violate, plagiarize or infringe upon the rights of any third party, including, without limitation, copyright, trademark, privacy or publicity, moral rights, contract or other personal or proprietary rights; (ii) contain unlawful material; (iii) constitute false or misleading indications of origin or statements of fact; (iv) slander, libel or defame any person or entity; or (v) cause injury of any kind to any person or entity; or (vi) violate any applicable laws, rules, regulations or other governmental regulations; and (b) that you are at least 18 years old. You hereby indemnify, defend and hold Invitation Platinum and its officers, partners, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms and Conditions or the foregoing representations, warranties and covenants, including, without limitation, reasonable lawyers’ fees. You shall cooperate as fully as reasonably required in the defence of any claim. Invitation Platinum reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You shall not enter into any settlement agreement, which affects the rights of Invitation Platinum without Invitation Platinum's prior written approval.
53. Invitation Platinum neither represents nor endorses the accuracy or reliability of any advice, opinion, statement or other information displayed, uploaded, or distributed through the Service by any user, information provider or any other person or entity. The Website, the Service, the access software (defined herein) and any materials provided by Invitation Platinum or third parties through the Service are provided "as is". Invitation Platinum makes no warranties, express or implied, as to the merchantability, fitness for a particular use or purpose, title, non-infringement or any other warranty, condition, guaranty, or representation, whether oral, in writing or in electronic form, including but not limited to the accuracy, timeliness or usefulness of any materials provided through the service. Invitation Platinum does not guarantee that your access to or use of the Service will be continuous, uninterrupted or secure.
54. You hereby acknowledge that the use of the Website and the Service available therein is at your sole risk.

DISCLAIMER OF WARRANTIES

55. Invitation Platinum AND YOUR EMPLOYER (IF APPLICABLE TO YOU) PROVIDE THE SERVICE AND ALL RELATED SOFTWARE AND CONTENT TO YOU "AS IS," WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ANY WARRANTY THAT THE SERVICE OPERATES ERROR FREE OR WITHOUT INTERRUPTION, OR ANY WARRANTY THAT INFORMATION OBTAINED THROUGH THE SERVICE IS ACCURATE OR RELIABLE. THE ENTIRE RISK ARISING OUT OF THE USE OF THE SERVICE REMAINS WITH YOU.
56. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data.
57. Invitation Platinum and your employer (if applicable to you) make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service.
58. No advice or information, whether oral or written, obtained by you from Invitation Platinum or through the Service shall create any warranty not expressly made herein.

INDEMNIFICATION

59. You agree to indemnify against and hold harmless Invitation Platinum and your employer (if applicable to you) and their respective affiliates, officers, directors and employees from any and all claims and demands, including without limitation the payment of reasonable lawyers’ fees, arising from your use of the service, save to the extent that such claims or demands were caused directly by the fraud or wilful default of Invitation Platinum or your employer or their respective affiliates, officers, directors and employees (other than you).

PRIVACY

60. As part of the Service registration process, you will provide certain personal information to Invitation Platinum. INVITATION PLATINUM AND YOUR EMPLOYER (IF APPLICABLE TO YOU) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT OR SPECULATIVE DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SERVICE OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OTHERWISE OBTAINED OR MESSAGE RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSION OF DATA, INCLUDING WITHOUT LIMITING THE FOREGOING, CONSEQUENTIAL, INCIDENTAL, AND SPECIAL DAMAGES, REGARDLESS WHETHER INVITATION PLATINUM OR YOUR EMPLOYER HAD ADVANCE NOTICE OF THE POSSIBILITY OF ANY SUCH DAMAGES.

Invitation Platinum and your employer (if applicable to you) shall not be responsible to you or any third parties for any direct or indirect, consequential, special, punitive or exemplary damage or loss incurred in connection with use of the Service, the website software or any of the materials provided by Invitation Platinum or third parties through the Service, or any damage or loss interruptions, deletions of files, errors, defects, delays in performance of the Service or the website software, regardless of the claim as to the nature of the cause of action, even if Invitation Platinum has been advised of the possibility of such damage or loss. Some jurisdictions may not allow the exclusion or limitation of incidental or consequential damages, so the above exclusions shall only apply to the extent permissible under the applicable law.

Invitation Platinum shall not be liable in any way whatsoever (including, but not limited to, negligence) for any special or consequential damages resulting from either your use of the site or your inability to use it or from your use of any site linked from or to the site. You may make one (1) copy of such software for archival purposes only. You may not copy, distribute, modify, reverse, engineer or create derivative works from the Website Software.

SOFTWARE

72. Any software or files that are made available for download from the Service ("Software") are the copyrighted work of Invitation Platinum and/or its suppliers. Use of the Software is governed by the terms of the end user license agreement, if any, that accompanies or is included with the Software ("License Agreement"). End users shall not install or use any Software that is accompanied by or includes a License Agreement, unless the end-user first agrees to the License Agreement terms.

For any Software not accompanied by a license agreement, the following shall constitute the License Agreement: Invitation Platinum hereby grants to you and your immediate family a personal, non-transferable license to use the Software for viewing and otherwise using the Service in accordance with these Terms and Conditions, and for no other purpose.

SYSTEM INTEGRITY

74. You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any transaction conducted on the Website.
75. You may not take any action that imposes an unreasonable or disproportionately large load on our infrastructure.
76. You may not disclose or share your password with any third parties or use your password for any unauthorized service.

TERMINATION

Invitation Platinum may, in its sole discretion, terminate or suspend your access or refuse service at any time, with or without prior notice, to all or part of the Service for any or no reason, including, without limitation, breach of these Terms and Conditions or the repeated infringement of copyrights owned by third parties. Upon termination, you will cease to use the Service. You may terminate your registration by contacting Invitation Platinum at info@invitationplatinum.co.uk and returning your membership card to Invitation Platinum (as covered in clauses 37 to 40 of these Terms and Conditions.)

Invitation Platinum, including, without limitation, its authorized agents, participating venues and employees may terminate or suspend your use of the Service without notice in the event that you breach any obligation in these Terms and Conditions, including but not limited to, (i) restricting, inhibiting or disrupting any Invitation Platinum event; (ii) attempting to alter or improperly access any feature or function of the Website; or (iii) behaving in a manner which a participating venue considers to be unruly. Your use may also be subject to termination if you post or transmit any illegal content, harass or threaten any user of the Website or Invitation Platinum employee, post content (including, but not limited to, the creation of usernames) that is offensive or otherwise disruptive of Website activities, post unsolicited advertising, or improperly impersonate a Invitation Platinum employee or other individual.

PRODUCT DESCRIPTIONS

79. Invitation Platinum attempt to describe all of the products on the Website as accurately as possible. However, Invitation Platinum does not warrant that product descriptions or other Content of this Website is accurate, complete, reliable, current or error-free.

MISCELLANEOUS

80. This Agreement has been made in and shall be construed and enforced in accordance with the law of England & Wales without regard to any conflict of law provisions.

Invitation Platinum may assign these Terms and Conditions (i) to any of its affiliates, (ii) to the surviving entity in the event of a merger, acquisition, or the sale of all or substantially all of the assets of Invitation Platinum (iii) in connection with the sale of this Website or the business unit associated with this Website
86. Any waiver of any provision of the Agreements will be effective only if in writing and signed by Invitation Platinum
87. If a court of competent jurisdiction finds any provision or portion of the Agreements to be unenforceable, the remaining provisions of the Agreements will continue in full force and effect.
88. Any notices to you or Invitation Platinum shall be made via either email or regular mail.
89. You agree to comply with U.K. law regarding the transmission/export of technical data through the use of the Service.
90. Nothing in this Agreement is intended to confer on any person any right to enforce any term of this Agreement which that person would not have had but for the Contracts (Rights of Third Parties) Act 1999.
91. This Agreement shall be governed by and construed in accordance with English law and the Courts of England and Wales shall act as the court of competent jurisdiction in the event of any dispute arising from the Agreements.
